Working With Fuse Capital

Are you regulated?

Fuse Capital is not regulated. Fuse Capital operates as a specialist capital solutions advisory firm, which is an unregulated activity in the jurisdictions in which we operate. We are not a lender, we are not a broker, and we do not hold client funds. We adhere to the highest standards of professional conduct and transparency. Our team brings deep industry expertise and a proven track record, ensuring every engagement is managed with integrity and in line with all applicable legal and regulatory requirements.

What services do you offer?

We are a global capital solutions advisory firm providing end-to-end advisory across three core service lines: Debt, M&A, and Restructuring. Our debt advisory practice supports growth-focused businesses through financial health analysis, lender identification and introductions, preparation of information memorandums, lender roadshows, negotiation support, and transaction management through to drawdown. Across all our service lines, our approach is tailored to your business needs, ensuring you access the right capital structure without unnecessary dilution.

What services do you not offer?

We do not provide direct lending, balance-sheet capital, or legal and tax advisory services. We are an independent capital solutions advisory firm, not a lender or a broker. While we advise on equity transactions within our M&A practice, we do not invest our own capital.

What makes Fuse Capital different from other advisors or lenders?

Fuse Capital is an independent capital solutions advisory firm—we are not a lender and not a broker. We act as an extension of your leadership team with over 13 years of experience in private markets, having advised on more than 250 completed transactions totalling over $1 billion in value. Supported by a network of over 1,500 global capital partners, our process is transparent, structured, and designed to deliver the best strategic outcome for your business, rather than for any particular capital provider.

Do you provide funding directly?

No, Fuse Capital does not lend money or invest direct capital. We act as your strategic capital partner and trusted advisor, connecting you with the most suitable institutional capital partners and guiding you through every step of the transaction.

How do you ensure confidentiality and data security?

We treat all client information with the utmost care and confidentiality. All materials shared with us are securely managed and only used for the purpose of supporting your funding process.

Navigating Our Funding Process

What loan sizes do you arrange?

We specialise in arranging debt facilities typically ranging from £2 million to £25 million, focusing on the mid-market segment that is often underserved by larger firms.

How long does the process take?

Timelines for each deal - from engagement to term sheet - may vary depending on deal complexity and lender requirements.

Do you fund pre-revenue start-ups?

Our core focus is on established, growth-stage businesses, including owner-managed businesses and those backed by venture capital, private equity, or listed on public markets. While we generally do not arrange funding for pre-revenue start-ups, we are happy to discuss your specific situation and advise on the best path forward.

What types of companies do you work with?

We are sector-agnostic, working across all industries. We serve two primary audiences:

For owner-managed businesses: Quest is now part of Fuse Capital. We support founder-led and mid-market companies through a dedicated owner-managed business practice; delivering the same team, the same OMB commitment, under one name, with more services.

For sponsor-backed businesses: We support VC-backed, PE-backed, and public companies seeking bespoke debt, M&A, or restructuring solutions.

What are the typical terms for your deals?

Typical terms include loan amounts from £2–£25 million, tenors of 12–60 months, interest rates in the 5–12% range, and senior security. Covenants are generally light or none, and some deals may include warrants or exit fees.

Do you charge for the initial evaluation?

No, we do not charge for an initial evaluation. We begin with a confidential discussion to understand your needs and assess your eligibility for our services.

What information do you require for the initial evaluation?

We typically request recent financial statements, forecasts, a business overview, and details of your current capital structure. This helps us quickly assess your funding options and tailor our approach.

What is the typical documentation process with Fuse Capital?

Fuse Capital manages the documentation process end-to-end. This includes preparing the information memorandum, coordinating with legal advisors, supporting due diligence, and managing all lender communications through to final loan agreements and drawdown. We ensure the process is efficient, transparent, and tailored to your needs.

What is the process for working with Fuse Capital, step by step?

Our process includes: initial consultation, information gathering, financial analysis, lender identification and outreach, preparation of materials, lender roadshow, negotiation, due diligence, and transaction management through to funding drawdown.

What happens if my business is outside your main markets?

Fuse Capital works with a global network of over 1,500 capital partners and has advised clients across the UK, Europe, North America, APAC, and beyond. If your business is based outside these regions, we are still happy to discuss your requirements and evaluate viable solutions.

What happens if no suitable offer is received?

We aim to only engage clients where there is a demonstrable pathway to funding. If no suitable offer is received, we will review the process with you, provide feedback, and discuss next steps. Our goal is always to maximize your options and deliver the best possible outcome.

Can you help me secure non-dilutive growth capital?

Yes. Fuse Capital specialises in structuring debt solutions that allow you to access growth capital without giving up equity. Our approach is designed to help you scale efficiently while preserving ownership and control.

What is the minimum & maximum loan amount you can help secure?

Our sweet spot is £2–£25 million per transaction, but we have experience supporting larger deals depending on the client’s needs and lender appetite.

How does Fuse Capital work with existing equity backers or investors during a debt raise?

Fuse Capital collaborates closely with your existing investors or equity backers throughout the debt raise process. We ensure alignment on funding strategy, keep stakeholders informed, and, where appropriate, involve them in key negotiations to secure the best possible terms for your business.

What role does Fuse Capital play in negotiating covenants, warrants, or other lender terms?

Fuse Capital acts as your advocate in all negotiations with lenders. We leverage our market knowledge and experience to negotiate covenants, warrants, and other key terms, ensuring they are fair, market-aligned, and support your long-term growth objectives.

What is the role of the client during the process?

You will need to provide accurate and timely information, participate in meetings with lenders, and make key decisions at each stage. We handle the heavy lifting, but your engagement is essential for a successful outcome.

Understanding Our Capital Partner Network

Who are your capital partners?

Our capital network comprises over 1,500 global capital partners, including private debt funds, commercial banks, family offices, alternative credit providers, and institutional investors across the UK, Europe, North America, and APAC.

What types of capital partners do you not work with?

We do not work with unregulated, non-transparent, or predatory capital providers. Our focus is exclusively on reputable, institutional-grade partners who adhere to fair, transparent, and professional standards.

Where are your capital partners based?

Our capital partners are based globally, with strong coverage across the UK, Europe, North America, and APAC. This global reach ensures we match your business with the most relevant and competitive capital sources, regardless of geography.

How do you select which capital partners to approach for my business?

We tailor our partner selection to your company profile, sector, transaction size, and strategic objectives across Debt, M&A, or Restructuring. This disciplined targeting ensures we approach only institutions with an active mandate and appetite for your profile.

How many capital partners will you approach on my behalf?

The outreach strategy depends entirely on the mandate and your confidentiality requirements:

Debt Advisory: Typically, we approach a targeted pool of 10 to 15 credit funds and institutional lenders. This drives price tension and optimal terms while preserving strict confidentiality.

M&A and Equity Transactions: We develop a tailored market list agreed upon with you. Depending on whether we run a targeted bilateral process or a broader auction, this may range from a curated group of 15 to 30 strategic buyers and private equity sponsors, through to a wider market sweep.

Restructuring and Special Situations: We work with a highly discreet, select group of specialised turnaround investors and secondary credit desks.

In every case, we agree on the partner list with you before any confidential outreach begins.

Are your capital partners regulated?

Our banking partners and institutional credit funds are regulated financial institutions operating under established regulatory oversight within their respective jurisdictions. For M&A and equity transactions, private equity sponsors and strategic acquirers are established, institutional-grade market participants adhering to standard corporate governance and market compliance frameworks.

Trusted by Companies Backed by Leading Global Investors

We have provided debt advisory to companies backed by some of the world’s most respected venture capital firms. From scaling disruptive technology to supporting established growth businesses, our track record demonstrates the results we have delivered alongside leading investors.

Let's Talk

What Happens Next?

At Fuse Capital, we’ve been supporting businesses with strategic debt solutions since 2013. Once we receive your details, here’s what happens next:

  1. 1

    Initial Consultation

We’ll arrange a discovery call to understand your business model, funding requirements, and growth ambitions. This helps us evaluate whether there’s a good strategic fit.

  2. 2

    Information Gathering & Review

If we proceed, our team will work closely with you to gather key financial and operational information. We’ll conduct a preliminary review to ensure we have a clear and accurate picture of your business.

  3. 3

    Investment Committee Review

Your opportunity is then assessed by our investment committee. We take a considered, selective approach progressing only where we believe we can deliver real value. If there’s alignment, we’ll recommend the most effective funding strategy tailored to your needs and proceed with next steps thereafter.
